Terms and conditions

These are the general terms and conditions of ShoForge. They apply to all quotes, assignments and collaborations, unless the individual quote or agreement explicitly says otherwise. In that case, the agreements in that quote or agreement apply.

1. Who we are

ShoForge, a sole proprietorship in formation, based in Antwerp, Belgium.

2. Services

ShoForge provides digital services for SMEs and local businesses, mainly:

  • website development (design, code, hosting setup)
  • building and training AI agents for lead follow-up and support
  • integrations with external tools (Calendly, CRM systems, WhatsApp and similar)
  • conversion audits and ongoing optimisation

3. Offers and quotes

  • Quotes are in writing (email or PDF) and valid for 30 days after issue, unless stated otherwise.
  • A quote includes the scope, delivery date, price and payment terms.
  • The prices on the website (Launch, Forge and Scale) are guide prices for the founding phase. Only the individual quote is binding.

4. Agreement

An agreement is formed as soon as you accept the quote in writing (an email is enough). From then on both parties are bound by the quote and these terms.

5. Delivery and planning

  • The guide time for a standard build (Launch or Forge) is 3 weeks from kickoff. The actual timeline is set in the quote.
  • Delays caused by late delivery of copy, photos, access or feedback from the client are outside our responsibility.
  • During the build sprint we share daily updates (video or email).

6. Prices and payment

  • Prices in quotes exclude VAT unless stated otherwise. The VAT status will be confirmed once ShoForge's company registration is complete.
  • Standard payment for one-off builds: 50% on signature and 50% on delivery. Monthly plans are invoiced in advance.
  • Payment term: 14 days after the invoice date, unless agreed otherwise.
  • Late payments may incur statutory interest and administration costs under Belgian law.

7. Intellectual property

  • After delivery and full payment, the client receives full ownership of the delivered code, design, content and domain.
  • External tools and libraries (open-source frameworks, paid licences) remain under their own licence.
  • ShoForge may show the delivered site in its portfolio and case studies, unless agreed otherwise.

8. Liability

  • ShoForge does its best to deliver quality but gives no guarantees on specific commercial results (number of leads, conversion, revenue).
  • ShoForge's liability is limited to the invoice amount of the assignment concerned.
  • ShoForge is not liable for outages or errors of external services (hosting, Calendly, payment providers and similar) outside our control.

9. Complaints

Complaints about delivered services must be reported in writing within 14 days of delivery or discovery. We always work together on a solution.

10. Termination

  • One-off builds: after delivery and payment the collaboration ends. Bug fixes within 30 days after launch are included.
  • Monthly plans: can be cancelled at the end of the current month with 30 days' notice.
  • On termination, the client receives all data, code and access.

11. Privacy

The processing of personal data is covered by our privacy policy.

12. Governing law and jurisdiction

Belgian law applies to all agreements with ShoForge. Any disputes fall exclusively under the courts of the judicial district of Antwerp.

13. Changes

ShoForge may update these terms. Ongoing assignments fall under the version that applied when they were signed.
